01 Agreement to Terms
These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you", "user"), and FixlyTools ("we", "us", "our"), concerning your access to and use of the website located at fixlytools.com, as well as any related media form, media channel, or mobile website connected thereto (collectively, the "Site").
By accessing or using the Site, you acknowledge that you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree with all of these terms, you are expressly prohibited from using the Site and must discontinue use immediately.
02 Nature of the Services
FixlyTools provides a suite of browser-based utilities designed to execute entirely on the user's client hardware. These tools include, but are not limited to:
- PDF Splitter and Merger (via in-memory WebAssembly/JavaScript)
- Image Compressor and Resizer (via HTML5 Canvas)
- CSV to JSON and Table Converter (via local Papa Parse)
- Text Diff Comparator and Cleaners (via local regex and jsdiff)
- Instant Invoice Builder (via local storage and print stylesheets)
- QR Code and Barcode Generators (via client-side SVG rendering)
- Timezone Overlap Meeting Planner (via native ECMAScript Intl APIs)
- In-Browser Screen and Mic Recorder (via native MediaRecorder)
- Focus Pomodoro & Ambient Noise Synthesizer (via Web Audio API)
We do not maintain remote processing queues or servers that handle your input files. All computing tasks are conducted locally within your device's memory sandbox.
03 Acceptable Use Policy & Site Rules
You may use FixlyTools only for lawful purposes and in accordance with these Terms. You agree not to use the Site:
- Unlawful Activity: In any way that violates any applicable local, state, national, or international law, statute, or regulation.
- Malicious Code Injection: To transmit, introduce, or deliberately execute any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful to your own machine or others.
- Abusive Scraping & Denial of Service: To use any automated robot, spider, crawler, or scraper to access, mirror, or flood the static hosting infrastructure of FixlyTools with excessive requests intended to disrupt availability.
- Circumvention of Security: To attempt to breach, disable, or tamper with any security mechanisms or CDN defenses protecting the delivery of our static files.
- Infringing Materials: To process, duplicate, or alter files or copyrighted intellectual property for which you do not possess valid authorization, license, or ownership rights.
04 User Content & Data Ownership
You retain full and complete ownership of all data, text, documents, images, and audio/video recordings that you load into FixlyTools.
Because FixlyTools processes all data client-side in your local browser sandbox, we do not receive, store, view, license, or claim any copyright over your content. We make no claim to the invoices you generate, the PDFs you merge, or the text you clean. You are solely responsible for keeping independent local backups of your own files.
05 Intellectual Property Rights
Unless otherwise indicated, the Site, including all proprietary source code, graphic designs, interface icons, logos, brand elements, audio synthesis algorithms, and documentation, is the intellectual property of FixlyTools or licensed to us, protected by copyright and trademark laws.
You are granted a limited, revocable, non-exclusive license to access and use the Site for your personal, educational, or commercial workflow needs. You may not re-brand, redistribute, resell, or frame the FixlyTools platform as a whole without express prior written consent from our development team.
06 Third-Party Libraries & External Links
The Site incorporates vetted, open-source JavaScript libraries (including pdf-lib, Papa Parse, and jsdiff) distributed under their respective permissive open-source licenses (MIT, Apache 2.0). All rights to these standalone components belong to their respective authors and contributors.
The Site may contain links to third-party websites or services (e.g., GitHub, Twitter, CDN providers) that are not owned or controlled by FixlyTools. We assume no responsibility for the content, privacy policies, or practices of any third-party websites.
07 Disclaimer of Warranties
While we make every effort to verify the accuracy of our client-side parsers and converters, we do not warrant that our tools will be error-free, uninterrupted, or that specific file formats will always compress or render without minor formatting artifacts.
08 Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall FixlyTools, its developers, contributors, or affiliates be liable for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages—including lost profits, loss of data, hardware malfunction, browser crashing, or business interruption—arising from or in connection with your use or inability to use our tools.
Because FixlyTools is offered completely free of charge, our total cumulative liability to you for any cause whatsoever shall at all times be limited to zero dollars ($0.00 USD).
09 Indemnification
You agree to defend, indemnify, and hold harmless FixlyTools, its maintainers, and contractors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms of Service or your violation of any third-party rights while using our platform.
10 Modifications to Site & Terms
We reserve the right, at our sole discretion, to modify, update, or replace any part of these Terms at any time. Changes become effective immediately upon posting to this page with an updated "Last Updated" date. Your continued use of the Site following the posting of any revisions constitutes acceptance of those changes.
11 Governing Law & Severability
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions.
